Welcome to Titanium Finance. These Terms and Conditions (the “Terms”) govern your access to, and use of, the Titanium Finance website, decentralized application (the “App”), smart contracts, and all associated services, materials, and information made available by or on behalf of Titanium Finance (collectively, the “Services”).
By accessing or using the Services, you acknowledge and agree that you have read, understood, and accept these Terms. If you do not agree, you must not access or use the Services.
These Terms contain important provisions, including risk disclosures relating to digital assets, limitations of liability, indemnification obligations, and a binding dispute resolution mechanism under the laws of the British Virgin Islands (“BVI”). You should carefully review these Terms before engaging with the Services.
1. Eligibility
Access to the Services is restricted to persons and entities who meet specific eligibility requirements. By accessing or using the Services, you represent, warrant, and covenant that:
You are at least eighteen (18) years of age, or the age of legal majority in your jurisdiction, whichever is greater, and have the capacity to enter into binding legal agreements.
You are not a citizen, resident, national, or agent of any jurisdiction in which access to hedge fund services or participation in decentralized finance (“DeFi”) protocols is prohibited by applicable law, regulation, or governmental policy.
You are not included on any sanctions list administered by the United Nations, the European Union, the United States (including the Office of Foreign Assets Control), the United Kingdom, or the British Virgin Islands.
You understand that Titanium Finance does not solicit, promote, or offer its Services in jurisdictions where such activity is unlawful.
If at any time you cease to meet these eligibility requirements, you must immediately cease using the Services. Titanium Finance reserves the right to request evidence of compliance with these eligibility requirements and to restrict or terminate access in the event of non-compliance.
2. Nature of Services
Titanium Finance operates as a hedge fund structured under the laws of the British Virgin Islands. The Services include access to blockchain-based financial strategies, such as staking and liquidity provision.
The Services are designed for sophisticated investors who understand the complexities and risks inherent in digital assets and blockchain-based financial protocols. By using the Services, you acknowledge and agree that:
The Services involve exposure to volatile and experimental technologies, including public blockchain networks and decentralized finance systems.
The Services may involve strategies and structures that differ significantly from traditional financial products, and you should not assume that historical performance, whether of Titanium Finance or of blockchain assets more generally, is indicative of future performance.
Titanium Finance may rely on third-party protocols, data providers, or other service providers, the availability and reliability of which are outside its control.
3. Wallet Access
The Services are accessible only through the use of non-custodial digital wallets (the “Wallets”). A Wallet enables you to interact with the Services, including depositing and withdrawing assets, approving transactions, and monitoring balances.
You acknowledge and agree that:
Titanium Finance does not provide, maintain, or control the Wallets used in connection with the Services. Wallets are provided by independent third-party software providers and are governed by separate terms and conditions.
Titanium Finance does not have custody or control of your private keys, seed phrases, or other credentials associated with your Wallet. You alone are responsible for safeguarding the confidentiality and security of your Wallet and any credentials that provide access to it.
If you lose access to your Wallet or credentials, Titanium Finance cannot assist you in recovering your digital assets.
You are solely responsible for all activity conducted through your Wallet, regardless of whether such activity is authorized by you.
You accept all risks associated with the use of Wallets in connection with the Services.
4. Smart Contract and Blockchain Risks
The Services operate through smart contracts deployed on public blockchain networks. Smart contracts are autonomous computer programs that execute according to their code and cannot be altered once deployed.
You expressly acknowledge and agree that:
Smart contracts may contain bugs, errors, vulnerabilities, or unexpected behaviors that may cause the loss or misallocation of assets.
Titanium Finance does not have the ability to modify, halt, or reverse transactions executed via smart contracts. Once confirmed on the blockchain, transactions are final and irreversible.
Public blockchain networks are subject to risks including congestion, miner or validator front-running, governance disputes, forks, and systemic vulnerabilities.
Economic risks such as liquidity shortfalls, price manipulation, or governance attacks may impact the performance of smart contracts and strategies.
The decentralized nature of blockchain technology means that Titanium Finance cannot control, and expressly disclaims responsibility for, the performance or security of third-party protocols, data oracles, cross-chain bridges, and validator nodes.
You assume full responsibility for evaluating the suitability of interacting with smart contracts and acknowledge that Titanium Finance is not liable for any losses you may incur.
5. Fees and Expenses
By using the Services, you agree and acknowledge the following fee structures:
Blockchain Transaction Fees: You are solely responsible for paying all transaction fees, network fees, or “gas fees” incurred while interacting with blockchain networks through the Services. Such fees are set by the networks themselves and are outside Titanium Finance’s control.
Management and Performance Fees: Titanium Finance may charge management and performance-based compensation.
Other Costs: You are responsible for any additional costs incurred as a result of your participation in the Services, including but not limited to tax obligations, custody expenses, or regulatory compliance costs in your jurisdiction.
All fees are non-refundable unless otherwise expressly stated in writing.
6. No Warranties
The Services are provided strictly on an “as is” and “as available” basis. Titanium Finance makes no representation, warranty, or undertaking regarding the Services, including but not limited to:
That the Services will meet your requirements or expectations;
That the Services will be uninterrupted, timely, secure, or error-free;
That information made available through the Services will be accurate, complete, or up-to-date;
That smart contracts or blockchain networks will function as intended, or that vulnerabilities will not arise.
To the fullest extent permitted by applicable law, Titanium Finance expressly disclaims all warranties, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, and security.
You acknowledge and accept that the Services are experimental in nature, and Titanium Finance does not guarantee any specific outcome or return.
7. Limitation of Liability
To the maximum extent permitted under applicable law, Titanium Finance and its affiliates, directors, officers, employees, contractors, and agents shall not be liable for any damages or losses, whether direct or indirect, arising out of or in connection with:
Your access to, use of, or inability to use the Services;
Any bugs, exploits, or vulnerabilities in smart contracts or blockchain protocols;
Loss of private keys, credentials, or access to Wallets;
The volatility, devaluation, or loss of digital assets;
Actions or omissions of third-party service providers, including Wallets, oracles, validators, or bridges;
Regulatory changes, enforcement actions, or compliance requirements;
Force majeure events, including natural disasters, cyberattacks, or other events beyond Titanium Finance’s reasonable control.
In no event shall Titanium Finance’s aggregate liability to you exceed one hundred U.S. dollars (USD $100), or the equivalent value in digital assets, unless otherwise required by law. This limitation applies even if Titanium Finance has been advised of the possibility of damages.
8. Indemnification
To the fullest extent permitted by law, you agree to indemnify, defend, and hold harmless Titanium Finance, its affiliates, directors, officers, employees, contractors, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or relating to:
Your use or misuse of the Services;
Your violation of these Terms;
Your violation of any applicable law, regulation, or third-party right;
Any dispute between you and a third party in connection with your use of the Services.
Titanium Finance reserves the right to assume the exclusive defense and control of any claim for which it is entitled to indemnification. You agree to cooperate fully in Titanium Finance’s defense of such claims.
9. Intellectual Property
Unless otherwise indicated, all intellectual property rights relating to the Services, including trademarks, logos, design elements, software, source code, and written content, are the property of Titanium Finance or its licensors.
You are granted a limited, non-exclusive, non-transferable license to use the Services for lawful purposes consistent with these Terms. You may not:
Copy, reproduce, or distribute any content from the Services without prior written consent;
Modify, reverse-engineer, or create derivative works based on the Services;
Use Titanium Finance’s trademarks or branding in any manner that implies affiliation or endorsement without authorization.
Any unauthorized use of the Services’ intellectual property may result in termination of access and legal action.
10. Updates to Terms
Titanium Finance may amend these Terms at any time in its sole discretion. The updated version will be posted on the Titanium Finance website, with the “Effective Date” updated accordingly.
Changes will take effect immediately upon publication, unless otherwise stated. Your continued use of the Services after the publication of updated Terms constitutes your acceptance of the changes. If you do not agree with the revised Terms, you must discontinue use of the Services.
11. Suspension and Termination
Titanium Finance may suspend, restrict, or terminate your access to the Services at its discretion, including if:
You breach these Terms or any applicable law;
Titanium Finance reasonably suspects that your use of the Services involves fraudulent, unlawful, or high-risk activity;
Required by legal or regulatory authorities;
For technical, operational, or security reasons.
Titanium Finance will endeavor to provide notice of suspension or termination where practicable, but reserves the right to act without notice if required by circumstances. Termination shall not relieve you of obligations incurred under these Terms, including indemnification obligations.
12. Governing Law and Dispute Resolution
These Terms, and any non-contractual obligations arising out of or in connection with them, shall be governed by and construed in accordance with the laws of the British Virgin Islands.
Any dispute, controversy, or claim arising out of or in connection with these Terms, including any question regarding their existence, validity, or termination, shall be referred to and finally resolved by arbitration under the rules of the BVI International Arbitration Centre (“BVI IAC”). The seat of arbitration shall be Road Town, Tortola, British Virgin Islands. The language of the arbitration shall be English, and the arbitral tribunal shall consist of a single arbitrator.
The decision of the arbitrator shall be final and binding on the parties, and judgment upon the award rendered may be entered in any court having jurisdiction.
13. Class Action and Jury Trial Waiver
You agree that all disputes must be pursued on an individual basis. To the maximum extent permitted by law:
You waive any right to bring claims as part of a class action, representative action, or collective proceeding.
The arbitrator shall not have authority to consolidate claims or conduct proceedings involving multiple parties.
You waive any right to a jury trial in any forum, whether in arbitration or court proceedings, to the extent such waiver is permitted under applicable law.
